Agreement

These Terms govern your use of guillotinelife.com and guillotine-life.com (the "Site"), operated by Guillotine Life, a registered trade name of TINKAVU LLC ("Guillotine Life", "we", "us"). By using the Site you agree to them. If you do not agree, please do not use the Site.

We may update these Terms. The "Last updated" date at the top of this page tells you when we last did. Continuing to use the Site after a change means you accept the current version.

What this site is

This is a business-to-business site for a design and manufacturing company. It presents our products, capabilities, and wholesale program. It has no shopping cart, and no order is placed or paid for through it. Submitting the trade application or the contact form is an inquiry, not a purchase and not a binding order.

Wholesale and trade accounts

Wholesale pricing, line sheets, and ordering are available to approved trade accounts. Applying does not guarantee approval, and we may decline or close an account at our discretion.

• Wholesale prices, minimum order quantities, and lead times are quoted per order and can change without notice. Anything shown on the Site is indicative, not a firm offer.
• An order becomes binding when we confirm it in writing. The confirmation, invoice, or a signed purchase agreement governs quantities, price, payment terms, and delivery for that order.
• Lead times are estimates given in good faith. Manufacturing and freight can slip, and we will tell you as soon as we know.
• Title and risk of loss pass to you on delivery to the carrier, unless your order confirmation says otherwise.
• Returns and claims for wholesale orders are covered by our Refund Policy.

Reselling our products

Approved accounts may resell the products we supply. You may use our product photography and copy to sell those products. You may not alter our products or packaging, present them as your own brand unless we have agreed a private-label arrangement in writing, or make claims about them that we have not made.

Acceptable use

• Do not use the Site for anything unlawful, or to infringe anyone's rights.
• Do not scrape, mass-download, or systematically copy the Site, and do not attempt to defeat the bot protection on our forms.
• Do not submit false information, someone else's details, or spam through our forms.
• Do not attempt to gain unauthorized access to the Site, its servers, or any connected system.

Intellectual property

The Site and its contents, including text, images, product designs, logos, and the Guillotine Life name and marks, belong to us or our licensors and are protected by copyright and trademark law. You may view and share pages for their normal purpose. Any other commercial use needs our written permission.

If you send us an idea, suggestion, or feedback about our products, you agree we may use it without owing you compensation or confidentiality. Please do not send us anything you consider confidential unless we have a signed agreement covering it.

Third-party links

The Site links to other sites we do not control, including our social media profiles and retailers who carry our products. We are not responsible for their content, their products, or their privacy practices.

Disclaimer

The Site is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or that the information on it is complete or current. Product photography is representative; colors and finishes vary between production runs. This paragraph limits warranties about the Site itself and does not limit any warranty we give in writing for goods we sell you.

Limitation of liability

To the fullest extent the law allows, Guillotine Life and TINKAVU LLC are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising out of your use of the Site. Our total liability relating to the Site will not exceed one hundred US dollars (USD 100). Liability for goods we sell you is governed by the order confirmation and our Refund Policy, not by this section. Some jurisdictions do not allow these limits, in which case they apply only as far as the law permits.

Indemnity

You agree to indemnify and hold harmless Guillotine Life, TINKAVU LLC, and their officers and employees from claims and costs, including reasonable legal fees, arising from your misuse of the Site or your breach of these Terms.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Volusia County, Florida, and you consent to their jurisdiction.

Severability

If any part of these Terms is found unenforceable, the rest stays in force. Our not enforcing a provision is not a waiver of it.
